BATCH BUDDY AFFILIATE PROGRAM TERMS & CONDITIONS

This Affiliate Agreement ("Agreement") is made between Batch Buddy, LLC, a Texas limited liability company ("Company"), and you ("Affiliate"). By registering for the Batch Buddy Affiliate Program through Rewardful, you agree to be bound by the following terms.

1. ELIGIBILITY & ENROLLMENT

Affiliate must provide truthful and verifiable information during registration. Company reserves the right to reject any application for any reason, particularly if the Affiliate’s promotional methods are inconsistent with the "Formulation First" brand image.

2. PROMOTIONAL GUIDELINES

To protect the Company’s brand integrity and search engine performance, Affiliate agrees to the following:

• No Brand Bidding: Affiliate is strictly prohibited from bidding on "Batch Buddy," "BatchBuddy.ai," or any misspellings thereof in Pay-Per-Click (PPC) campaigns (e.g., Google Ads, Bing Ads).
• FTC Disclosures: Affiliate must clearly and conspicuously disclose their financial relationship with Company on any page or post where an affiliate link is used, in accordance with FTC guidelines.   

• No Deceptive Tactics: Use of "parasiteware," "cookie stuffing," or deceptive pop-ups that overwrite cookies to claim unearned commissions is grounds for immediate termination.
• No Income Claims: Affiliate shall not make unrealistic or unauthorized financial promises regarding the software’s ROI to prospective users.

3. COMMISSIONS & PAYMENTS

• Lifetime Residuals: Affiliate earns recurring commissions for the lifetime of a referred customer’s subscription (Formulator, Professional, or Enterprise tiers) as long as the account remains active and paid.   

• Waiting Period: Commissions become due only after a 30-day clearance period to account for customer refunds or payment disputes.
• Payment Method: All payments are processed through Rewardful (via PayPal or Wise) every 30 days, subject to a minimum payout threshold of $50.
• Chargebacks: If a referred customer disputes a charge, any previously paid commission for that transaction will be deducted from the Affiliate’s next payout.

4. ACTIVE STATUS & ABANDONMENT

To ensure the health of the partner ecosystem, an account is deemed "Abandoned" if:

• The Affiliate has not logged into the Rewardful dashboard for 12 consecutive months; OR
• The Affiliate has generated zero new qualified referrals for 6 consecutive months. Abandoned accounts may be deactivated, and eligibility for future residual commissions on existing referrals will cease upon deactivation.

5. INDEPENDENT CONTRACTOR STATUS

Affiliate is an independent contractor and not an employee, partner, or agent of Batch Buddy, LLC. Affiliate has sole discretion over their marketing methods and bears all expenses related to their promotional activities. Compensation will be reported on IRS Form 1099-NEC if annual earnings exceed $600.

6. INTELLECTUAL PROPERTY

Affiliate is granted a non-exclusive, revocable license to use Batch Buddy trademarks and logos solely for the purpose of promoting the software. All proprietary formulation data and trade secret protections within the app remain the exclusive property of Company.

7. TERM & TERMINATION

Either party may terminate this Agreement at any time with written notice. In the event of a breach of Section 2 (Promotional Guidelines), Company may terminate the relationship immediately and forfeit any pending commissions.

8. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the courts of Travis County, Texas.
